Description of Services

Profit Residuals operates a platform that connects individuals who own payment processing accounts (such as Stripe accounts) with businesses seeking payment processing solutions. Our services include:

  • Facilitating partnerships between account owners and vetted businesses
  • Providing onboarding and integration support
  • Managing revenue sharing arrangements
  • Offering ongoing partner support

Eligibility

To use our services, you must:

  • Be at least 18 years of age
  • Have the legal capacity to enter into binding contracts
  • Own a valid, active payment processing account in good standing
  • Reside in a jurisdiction where our services are available
  • Not be prohibited from using our services under applicable law

Account Registration and Verification

To participate in our partnership program, you may be required to:

  • Complete our application and verification process
  • Provide accurate, current, and complete information
  • Maintain and update your information as necessary
  • Grant us appropriate access permissions to your payment processing account

We reserve the right to verify your information and decline applications at our sole discretion.

Partner Responsibilities

As a partner, you agree to:

  • Maintain your payment processing account in good standing
  • Comply with all applicable laws and regulations
  • Follow the terms of your payment processor's service agreement
  • Transfer agreed-upon revenue shares in a timely manner
  • Notify us immediately of any issues or concerns with your account
  • Not engage in fraudulent or deceptive practices

Revenue Sharing

Our partnership program operates on a revenue-sharing model. Specific terms, including:

  • Revenue share percentages
  • Payment schedules and methods
  • Minimum thresholds
  • Transfer procedures

Will be outlined in a separate Partnership Agreement provided during the onboarding process.

Prohibited Activities

You agree not to:

  • Use our services for any illegal purpose or in violation of any laws
  • Engage in money laundering, fraud, or other financial crimes
  • Misrepresent your identity or provide false information
  • Interfere with or disrupt our services or servers
  • Attempt to gain unauthorized access to our systems
  • Use our services to process transactions for prohibited businesses or activities
  • Violate the terms of your payment processor's agreement

Intellectual Property

All content on our website, including text, graphics, logos, images, and software, is the property of Profit Residuals or its licensors and is protected by intellectual property laws. You may not use, reproduce, or distribute any content without our prior written permission.

Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

We do not guarantee any specific level of earnings or income. Actual results will vary based on numerous factors, including the businesses you are partnered with and market conditions.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PROFIT RESIDUALS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF OUR SERVICES.

Our total liability for any claims arising from these Terms or your use of our services shall not exceed the amounts paid to you through our platform in the twelve (12) months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Profit Residuals and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of our services
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your violation of any applicable laws or regulations

Termination

We may terminate or suspend your access to our services at any time, with or without cause, and with or without notice. Upon termination:

  • All rights and licenses granted to you will immediately cease
  • You must cease all use of our services
  • Outstanding revenue shares will be settled according to your Partnership Agreement

You may terminate your participation in our program at any time by providing written notice as specified in your Partnership Agreement.

Dispute Resolution

Any disputes arising from these Terms or your use of our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in Boulder, Colorado, and the decision of the arbitrator shall be final and binding.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to its conflict of law principles.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of our services after such changes constitutes your acceptance of the new Terms.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Entire Agreement

These Terms, together with our Privacy Policy and any Partnership Agreement, constitute the entire agreement between you and Profit Residuals regarding your use of our services.
